1. Agreement to Terms

By accessing or using Raday ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Raday regarding your use of the Service. We may update these Terms from time to time, and we will notify you of any material changes by posting the new Terms on this page with an updated "Last updated" date.

2. Description of Service

Raday is a project management application that allows users to create projects, manage tasks, write documents and notes, and collaborate with team members in real-time. The Service is provided "as is" and "as available."

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information, including:

  • A valid email address
  • Your name
  • A secure password

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

You must be at least 16 years old to create an account and use the Service. By creating an account, you represent that you are at least 16 years old.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use the Service to send spam, unsolicited messages, or malicious content
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Scrape, harvest, or collect information about other users without their consent
  • Use automated systems or software to access the Service without our prior written permission

5. User Content

You retain ownership of all content you create, upload, or store using the Service ("User Content"). By using the Service, you grant us a limited license to host, store, and display your User Content solely for the purpose of providing the Service to you.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third-party rights.

6. Collaboration Features

The Service allows you to invite other users to collaborate on your projects. When you share a project:

  • You are responsible for managing access permissions
  • Collaborators may view, edit, or modify content based on the permissions you grant
  • You acknowledge that content shared with collaborators may be visible to them
  • You can revoke access at any time by removing collaborators from your projects

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Raday and are protected by international copyright, trademark, and other intellectual property laws.

Our name, logo, and all related names, logos, product and service names, designs, and slogans are our trademarks. You may not use such marks without our prior written permission.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

9. Termination

You may terminate your account at any time by using the account deletion feature in your settings. Upon termination, your User Content will be permanently deleted.

We may suspend or terminate your account and access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RADAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or relating to the Service shall not exceed the amount you paid us, if any, for access to the Service during the twelve (12) months prior to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Raday and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Changes to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation or, if necessary, through binding arbitration.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
